1. Introduction
1.1 These Terms and Conditions (“Terms”) govern and regulate the provision of consultancy, training, and certification services by QualiCert Solutions, a business operated under Atlantic Global Network LLC (“QualiCert Solutions,” “we,” “our,” or “us”), including but not limited to all services relating to the ISACO Quality Management System (QMS).
1.2 By submitting an application, enrolling in training, engaging consultancy services, or otherwise participating in the certification process, the client (“Client,” “you,” or “your”) acknowledges, accepts, and agrees to be bound by these Terms in full.
1.3 These Terms constitute a legally binding agreement between QualiCert Solutions and the Client. If you do not agree with these Terms, you must refrain from using or accessing any of our services.
2. Scope of Services
2.1 QualiCert Solutions provides professional consultancy, training, and certification support strictly in accordance with the ISACO Quality Management System (“ISACO QMS”).
2.2 The services offered by QualiCert Solutions may include, but are not limited to:
- (a) advisory and consultancy relating to the implementation of ISACO QMS standards;
- (b) the delivery of structured training programs to individuals and organizational representatives;
- (c) assistance in the preparation, review, and/or drafting of a Quality Manual, with the option of engaging an ISACO-accredited consultant for an additional fee; and
- (d) the evaluation of submissions and the issuance of certifications where applicable.
2.3 Certification shall only be granted upon the Client’s successful completion of all required training modules and the formal approval of the submitted Quality Manual by QualiCert Solutions.
2.4 QualiCert Solutions reserves the sole and exclusive right to determine whether certification criteria have been met. Certification does not constitute any guarantee of business performance, regulatory compliance, or third-party acceptance beyond the scope of ISACO QMS recognition.
3. Eligibility
3.1 QualiCert Solutions’ services are available to natural persons, corporate entities, nonprofit organizations, religious institutions, and other legally recognized entities that seek certification under the ISACO QMS framework.
3.2 By applying for or engaging in certification services, the Client represents and warrants that it possesses the legal capacity and authority to enter into binding agreements and to participate in the certification process.
3.3 The Client shall provide complete, accurate, and current information at the time of application and throughout the certification process. QualiCert Solutions reserves the right to suspend, withhold, or revoke services or certification in the event that false, misleading, or incomplete information is provided.
4. Fees & Payment
4.1 Certification fees are tier-based and shall be charged in accordance with the schedule published on QualiCert Solutions’ official website or in its current application forms. QualiCert Solutions reserves the right to revise such fees at its sole discretion, provided that any change shall not apply retroactively to applications already accepted.
4.2 An additional fee of USD $200 shall apply where the Client elects to engage an ISACO-accredited consultant to draft or assist with the Quality Manual.
4.3 All payments must be made in full, in U.S. Dollars (USD), exclusively via PayPal to payments@qualicertsolutions.com, unless otherwise expressly authorized in writing by QualiCert Solutions.
4.4 Proof of payment, including a valid PayPal transaction reference, must accompany the certification application. Applications received without proof of payment shall be deemed incomplete and may be rejected or delayed.
4.5 All fees paid to QualiCert Solutions are non-refundable. Refunds shall only be issued where required by applicable law.
5. Client Responsibilities
5.1 The Client shall ensure that all information, documents, and representations submitted to QualiCert Solutions are accurate, complete, and up to date.
5.2 The Client is responsible for the timely completion of all required training modules, coursework, and assessments as prescribed under the ISACO QMS framework.
5.3 The Client shall prepare and submit a Quality Manual in accordance with ISACO QMS requirements, or, where elected, engage a QualiCert-approved consultant for an additional fee.
5.4 Following the issuance of certification, the Client shall maintain ongoing compliance with ISACO QMS standards. Certification may be suspended or revoked where the Client fails to uphold such compliance.
5.5 The Client shall cooperate fully with QualiCert Solutions in all matters relating to the certification process, including but not limited to responding to requests for clarification, providing supporting documentation, and adhering to reasonable timelines communicated by QualiCert Solutions.
6. Certification Conditions
6.1 Certification under the ISACO QMS framework is not guaranteed. Certification shall only be conferred upon the Client’s successful completion of all mandatory training requirements and the formal review and approval of the submitted Quality Manual by QualiCert Solutions.
6.2 QualiCert Solutions reserves the sole discretion to grant, deny, suspend, or revoke certification at any time if, in its reasonable judgment, the Client:
- (a) provides false, misleading, or incomplete information;
- (b) fails to remit full payment or provide valid proof of payment;
- (c) fails to maintain compliance with ISACO QMS standards; or
- (d) engages in conduct that, in the opinion of QualiCert Solutions, may bring the certification framework into disrepute.
6.3 Any certificate issued remains the exclusive intellectual property of QualiCert Solutions and/or ISACO. The Client is granted a limited, revocable, non-transferable license to use the certificate solely for the purpose of representing its certification status.
6.4 The Client shall not alter, reproduce, distribute, or misrepresent the certification in any form. Use of certification marks, logos, or materials provided by QualiCert Solutions is permitted only while the certification remains valid and in good standing.
7. Intellectual Property
7.1 All intellectual property rights in and to the ISACO QMS framework, training materials, manuals, documentation, and related content provided by QualiCert Solutions (“Materials”) are and shall remain the sole property of QualiCert Solutions and/or ISACO.
7.2 The Client is granted a limited, revocable, non-exclusive, and non-transferable license to use the Materials strictly for the purpose of completing training, preparing for certification, and maintaining compliance with ISACO QMS standards.
7.3 The Client shall not, without the prior written consent of QualiCert Solutions:
- (a) copy, reproduce, or distribute the Materials in any form;
- (b) sell, sublicense, or otherwise commercially exploit the Materials;
- (c) modify, reverse engineer, or create derivative works based on the Materials; or
- (d) make the Materials available to any third party other than employees or representatives directly involved in the Client’s certification process.
7.4 Unauthorized use of the Materials constitutes a breach of these Terms and may result in immediate termination of services, revocation of certification, and pursuit of legal remedies.
8. Confidentiality
8.1 QualiCert Solutions shall treat as strictly confidential all information, documentation, and data supplied by the Client in connection with certification services, including but not limited to business records, operational processes, and Quality Manuals (“Confidential Information”).
8.2 Confidential Information shall not be disclosed to any third party without the Client’s prior written consent, except:
- (a) to employees, consultants, or subcontractors of QualiCert Solutions who require access for the purpose of performing services under these Terms, provided such persons are bound by confidentiality obligations no less restrictive than those set forth herein;
- (b) where disclosure is required by law, regulation, or court order; or
- (c) where the information is or becomes publicly available through no breach of these Terms.
8.3 The obligations of confidentiality shall survive the termination or completion of services.
8.4 Notwithstanding the foregoing, QualiCert Solutions reserves the right to collect, compile, and use aggregated and anonymized data derived from Client submissions for internal reporting, research, and service improvement, provided that such data does not identify the Client or disclose any Confidential Information.
9. Limitation of Liability
9.1 All services provided by QualiCert Solutions are delivered on an “as-is” and “as-available” basis, without any warranties, representations, or guarantees of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Certification issued under the ISACO QMS framework constitutes recognition of compliance with the defined ISACO standards only. QualiCert Solutions makes no warranty or representation that such certification will:
- (a) satisfy any legal, regulatory, or contractual requirements applicable to the Client;
- (b) be recognized, accepted, or enforceable by third parties; or
- (c) result in improved business performance, commercial advantage, or market acceptance.
9.3 To the fullest extent permitted by law, QualiCert Solutions shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, or reputational harm, arising out of or in connection with the use of its services or certification.
9.4 In all cases, the total aggregate liability of QualiCert Solutions, whether in contract, tort, negligence, or otherwise, shall be strictly limited to an amount not exceeding the total fees actually paid by the Client to QualiCert Solutions for the specific service giving rise to the claim.
10. Termination
10.1 The Client may withdraw from the certification process at any time by providing written notice to QualiCert Solutions. All fees paid are non-refundable, except where otherwise required by applicable law.
10.2 QualiCert Solutions reserves the right, in its sole discretion, to suspend or terminate the provision of services or revoke certification with immediate effect if:
- (a) the Client breaches any provision of these Terms;
- (b) the Client fails to complete required training, submit required documentation, or pay applicable fees;
- (c) the Client provides false, misleading, or incomplete information;
- (d) the Client engages in conduct that may, in the reasonable opinion of QualiCert Solutions, damage the integrity or reputation of ISACO QMS or QualiCert Solutions; or
- (e) compliance with applicable laws, regulations, or enforcement actions requires termination.
10.3 Upon termination or revocation of certification, the Client shall immediately cease all use of ISACO and/or QualiCert names, marks, and materials and shall refrain from representing itself as certified under ISACO QMS.
10.4 Termination of services shall be without prejudice to any rights, remedies, or claims that accrued to either party prior to the effective date of termination.
11. Governing Law and Jurisdiction
11.1 These Terms, and any dispute, claim, or controversy arising out of or in connection with them, the services provided, or certification issued, shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law principles.
11.2 The parties irrevocably agree that the state and federal courts located within the State of New Mexico shall have exclusive jurisdiction to settle any dispute, claim, or matter arising out of or relating to these Terms or the services provided by QualiCert Solutions.
11.3 The Client expressly waives any objection to the venue or jurisdiction of such courts, including any claim of inconvenient forum.
12. Amendments
12.1 QualiCert Solutions reserves the right to amend, modify, or update these Terms, in whole or in part, at any time and at its sole discretion.
12.2 Any such amendments shall become effective upon publication on the official QualiCert Solutions website (www.qualicertsolutions.com) or upon written notice to the Client, whichever occurs first.
12.3 The Client’s continued use of QualiCert Solutions’ services, participation in training, or reliance upon certification after the effective date of any amendment shall constitute the Client’s full and binding acceptance of the amended Terms.
12.4 It is the responsibility of the Client to review the Terms periodically to remain informed of any amendments.
